1. Agreement to Terms

By accessing or using Leadvr ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not agree, you must not use the Service.

2. Description of Service

Leadvr is a UK business lead-generation platform that allows users to search, enrich, and export company data sourced from Companies House and other publicly available registers. Features include company search, decision-maker contact discovery, credit scoring, AI-powered data enrichment, list management, and CSV/Excel export.

3. Account Responsibilities

  • You must provide accurate and complete information when creating an account.
  • You are responsible for maintaining the confidentiality of your login credentials.
  • You are responsible for all activity that occurs under your account.
  • You must notify us immediately at legal@leadvr.com if you suspect unauthorised access to your account.
  • You must be at least 18 years old and a legal entity or representative of one to use the Service.

4. Credits, Plans & Usage Limits

Leadvr operates on a credit-based system. Each action (e.g. enrichment, email lookup, export) consumes a defined number of credits from your account balance.

  • Credits are allocated based on your subscription plan and refresh according to your billing cycle.
  • Unused credits do not roll over to the next billing period unless explicitly stated in your plan.
  • Export limits (number of records per export and total monthly exports) vary by plan tier.
  • We reserve the right to modify credit costs for specific actions with reasonable notice.
  • Abuse of the credit system (e.g. creating multiple free accounts, automated exploitation) is grounds for immediate termination.

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable UK or international law or regulation.
  • Send unsolicited bulk email (spam) or otherwise breach the Privacy and Electronic Communications Regulations 2003 (PECR).
  • Scrape, crawl, or systematically extract data from the platform beyond normal use.
  • Reverse-engineer, decompile, or attempt to extract the source code of the Service.
  • Share, resell, or redistribute data obtained through the Service without authorisation.
  • Impersonate another person or entity.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Use the Service for any purpose that is harassing, defamatory, or fraudulent.

We reserve the right to suspend or terminate accounts that violate these terms without prior notice.

6. Billing & Refunds

  • Paid subscriptions are billed in advance on a monthly or annual basis, depending on the plan selected.
  • All prices are displayed in GBP and are exclusive of VAT unless stated otherwise.
  • You authorise us to charge your payment method on file for all fees due.
  • Subscriptions renew automatically. You may cancel at any time from your account settings; cancellation takes effect at the end of the current billing period.
  • Refunds are provided at our discretion. If you believe you have been charged in error, contact legal@leadvr.com within 14 days of the charge.
  • We reserve the right to change pricing with at least 30 days' written notice. Continued use after the price change constitutes acceptance.

7. Intellectual Property

All content, features, and functionality of the Service — including but not limited to the software, design, text, graphics, logos, and trademarks — are owned by Leadvr and are protected by UK and international intellectual property laws.

  • You may not copy, modify, distribute, or create derivative works based on the Service without our express written permission.
  • Data you export from the Service may be used for your legitimate business purposes, subject to applicable data protection law.
  • Companies House data accessed through the Service remains subject to the terms and conditions of Companies House and the Open Government Licence.

8. Data & Privacy

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your data. By using the Service you acknowledge that you have read and understood the Privacy Policy.

You are responsible for ensuring that your use of any data obtained through the Service complies with all applicable data protection legislation, including UK GDPR.

9. Limitation of Liability

To the maximum extent permitted by law:

  • The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied.
  • We do not guarantee the accuracy, completeness, or timeliness of data sourced from Companies House or any third-party provider.
  • Leadvr shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity.
  • Our total aggregate liability for any claim arising from or related to the Service shall not exceed the amount you have paid to us in the 12 months preceding the claim.
  • Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under UK law.

10. Indemnification

You agree to indemnify and hold harmless Leadvr, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

11. Termination

  • You may close your account at any time from your account settings or by emailing legal@leadvr.com.
  • We may suspend or terminate your access immediately, without prior notice, if you breach these Terms.
  • Upon termination, your right to use the Service ceases immediately. Any credits remaining in your account are forfeited.
  • Provisions that by their nature should survive termination (including intellectual property, limitation of liability, and indemnification) will remain in effect.

12. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or in-app notification at least 30 days before they take effect. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
